Terms of Service

By accessing or using the Valastic platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services. These Terms constitute a legally binding agreement between you and Valastic, Inc.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. "You" and "your" refer to both you individually and the organization.

We may update these Terms from time to time. Material changes will be communicated via email or in-product notification at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.

Valastic provides a forms automation platform that enables teams to build, publish, route, and process forms and their submissions. The Services include form creation tools, a form workflow builder, data storage and processing, reporting and analytics, and integrations with third-party services.

We reserve the right to modify, suspend, or discontinue the Services at any time. We will provide reasonable advance notice of any material changes that affect existing functionality. We are not liable for any modification, suspension, or discontinuation of the Services.

The Services are provided on an "as is" and "as available" basis. We make no warranties, expressed or implied, regarding the availability, reliability, or fitness of the Services for any particular purpose.

You must create an account to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You may not share your account credentials with any third party. Each user in your organization must have their own account. You are responsible for ensuring that all users comply with these Terms.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to the platform or other users.

You agree not to use the Services to: violate any applicable law or regulation; send spam, phishing messages, or other unsolicited communications; upload or transmit malware, viruses, or other harmful code; attempt to gain unauthorized access to any part of the Services or related systems; interfere with or disrupt the Services or servers; or use the Services to build a competing product or service.

You are solely responsible for the content you create, collect, and process through the Services. You must ensure that you have the legal right to collect and process all data submitted through your forms and workflows.

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspension or termination of their account.

Valastic retains all right, title, and interest in and to the Services, including all software, documentation, trademarks, and other intellectual property. These Terms do not grant you any right to use the Valastic name, logo, or trademarks without prior written consent.

You retain all rights to the data, forms, and workflows you create using the Services. You grant Valastic a limited license to process your data solely to provide the Services. This license terminates when you delete your data or your account.

We may use aggregated and anonymized data derived from your use of the Services to improve our products and develop new features. This data cannot be used to identify you or your organization.

To the maximum extent permitted by applicable law, Valastic and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Services.

In no event shall our total aggregate liability exceed the greater of (a) the amount paid by you to Valastic during the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

These limitations apply regardless of the legal theory under which such damages are sought, whether in contract, tort, strict liability, or otherwise, and even if Valastic has been advised of the possibility of such damages.

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Services shall be resolved in the state or federal courts located in San Francisco County, California.

If you are located outside the United States, you are responsible for compliance with any local laws applicable to your use of the Services. The Services are not directed to, and we do not knowingly collect personal information from, individuals located in countries subject to comprehensive economic sanctions.
